TERMS & CONDITIONS

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the AI Certification Institute (“CIAI” or “the Platform”) available at https://ciai.com. The Platform is owned and operated by CIAI, Inc. (“Company”, “we”, “us”, or “our”). The Platform provides adaptive, AI-driven educational content and certification services through the ArthurAI™ Virtual Learning Platform (“ArthurAI™ VLP”) and its proprietary AGI system, “ArthurAI™.”

By accessing, browsing, or using the Platform, you (“User,” “you,” or “your”) acknowledge and agree to be legally bound by these Terms. If you do not accept these Terms in full, you may not access or use the Platform.

2. Eligibility and Accounts

2.1 Eligibility:

Use of the Platform is permitted only by individuals who are at least thirteen (13) years of age or have reached the digital age of consent in their jurisdiction. Users under the age of eighteen (18) must obtain consent from a parent or legal guardian.

2.2 Institutional Users:

Any institution registering for an account must be duly organized, validly existing, and possess the legal authority to bind itself to these Terms.

2.3 Account Security:

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use or suspected breach of security.

3. Platform Use and Educational Content

3.1 Scope of Services:

The Platform provides adaptive, AI-generated educational materials, assessments, and certifications. Personalized learning journeys and recommendations may be generated by “ArthurAI™,” the AGI agent.

3.2 Intended Use:

All Platform content is provided for educational and certification purposes only. CIAI does not guarantee employment, professional licensure, or the acceptance of any certification or badge by third parties or regulatory bodies unless expressly stated in writing.

3.3 Prohibited Activities:

You shall not;

reverse engineer, decompile, or otherwise attempt to access or derive the source code or underlying algorithms of the Platform or its AI systems;
use the Platform in any unlawful, abusive, or fraudulent manner; or
tamper with, disrupt, or misuse the Platform or any related systems.

4. User Responsibilities

4.1 Accuracy of Information:

You agree to provide and maintain information that is accurate, current, and complete at all times.

4.2 Permissible Content:

You shall not upload, post, transmit, or otherwise distribute through the Platform any material that is illegal, infringing, abusive, or otherwise prohibited by law.

4.3 Academic Integrity:

All assignments, projects, and submissions must be your own original work or must be properly attributed in accordance with applicable copyright laws and academic standards.

5. Intellectual Property

5.1 Ownership:

All content and materials available on the Platform, including but not limited to courses, assessments, AGI-generated materials, and all trademarks and service marks (including ArthurAI™ and CIAI), are the exclusive property of CIAI or its licensors and are protected by intellectual property laws.

5.2 Limited License:

CIAI grants you a non-exclusive, non-transferable, revocable license to access and use the Platform and its content solely for your personal educational use and strictly in accordance with these Terms. No content may be copied, reproduced, distributed, or modified except as expressly permitted herein.

6. Certification and Digital Badges

6.1 Awards:

CIAI may, in its sole discretion, award digital certifications or badges upon your successful completion of designated programs and assessments.

6.2 No Warranty of Recognition:

CIAI makes no representation, warranty, or guarantee that any certification or badge will be recognized or accepted by any third party, employer, or accrediting institution, unless explicitly stated otherwise in writing.

7. Fees and Payment

7.1 Payment:

CIAI may, in its sole discretion, award digital certifications or badges upon your successful completion of designated programs and assessments.

CIAI reserves the right to modify pricing, access privileges, or features of its services at any time, with reasonable notice provided to affected users.

8. Data Privacy

Your use of the Platform is subject to CIAI’s Privacy Policy, which describes our practices regarding the collection, use, retention, and protection of your information. The Privacy Policy is incorporated by reference into these Terms.

9. Third-Party Services

CIAI may integrate with or link to third-party services (including but not limited to payment processors, learning management systems, and proctoring tools). Your use of such third-party services is subject to their respective terms of use and privacy policies. CIAI disclaims any liability arising from your use of or reliance on third-party services.

10. Disclaimer of Warranties; Limitation of Liability

10.1 Disclaimer:

The Platform and all content are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted or error-free operation.

10.2 Limitation of Liability:

To the maximum extent permitted by applicable law, CIAI and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to lost profits, loss of data, or business interruption) arising out of or related to your use or inability to use the Platform, even if CIAI has been advised of the possibility of such damages.

11. Termination

CIAI reserves the right to suspend or terminate your access to the Platform at any time and for any reason, including but not limited to any actual or suspected violation of these Terms or applicable law. Upon termination, your right to use the Platform will immediately cease. Data retention and deletion will be handled in accordance with the Privacy Policy and applicable laws.

12. Amendments to Terms

CIAI reserves the right to amend or update these Terms at any time. Material changes will be communicated to users via the Platform or by email. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

13. Governing Law; Dispute Resolution

13.1 Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Arbitration:

Any dispute, controversy, or claim arising out of or relating to these Terms, your use of the Platform, or the services provided, shall be resolved by binding arbitration administered in California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions. Notwithstanding the foregoing, CIAI reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.

15. No Refund Policy

15.1 Final Sale:

All sales are final. CIAI does not issue refunds or exchanges for any courses, programs, certifications, subscriptions, or other paid services, except as required by applicable law.

15.2 Erroneous Charges or Technical Issues:

If you believe you have been erroneously charged, or if a technical issue prevents access to a paid service, you must notify CIAI support at hello@ciai.com within seven (7) days of purchase. CIAI, at its sole discretion, may review such claims but is under no obligation to provide a refund.
